Terms of Service

These Terms of Service ("Terms") govern your access to and use of Grapevine Workplace (the "Service"), operated by Grapevine Software Inc. ("Grapevine," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1. Acceptance of the Terms

  • By accessing or using Grapevine Workplace, you agree to these Terms and our Privacy Policy.
  • If you do not agree, you may not use the Service.
  • If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and "you" refers to both you and that organization.

2. Who May Use the Service

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.
  • You may not use the Service if you are prohibited from doing so under applicable law.

3. The Grapevine Workplace Service

  • Grapevine Workplace is a cloud-based digital workplace system designed to help teams organize work, collaboration, and execution.
  • The Service is provided on a software-as-a-service (SaaS) basis. We host and operate the platform, and you access it via the internet.
  • We may update, modify, suspend, or discontinue features of the Service at any time, including for maintenance, security, operational, or business reasons.

4. Accounts and Responsibilities

You are responsible for:

  • maintaining the confidentiality of your account credentials
  • all activity that occurs under your account
  • ensuring that your users comply with these Terms

You agree not to:

  • share accounts between users
  • access the Service in an unauthorized manner
  • interfere with or disrupt the integrity or performance of the Service

5. Acceptable Use

You may not use the Service to:

  • violate any applicable law or regulation
  • upload, post, or distribute unlawful, harmful, defamatory, abusive, or fraudulent content
  • infringe the intellectual property or privacy rights of others
  • transmit malware, viruses, or malicious code
  • reverse engineer, decompile, or attempt to extract source code
  • use the Service to build, benchmark, or support a competing product

We reserve the right to investigate violations and take appropriate action, including suspending or terminating access.

6. Customer Data and Content

Your Data

  • You retain ownership of all data, content, and information you upload to the Service ("Customer Data").
  • We do not claim ownership over your Customer Data.

Our Use of Data

We may access, process, and store Customer Data solely as reasonably necessary to:

  • provide, maintain, and operate the Service
  • provide customer support
  • improve functionality, reliability, and user experience
  • comply with legal obligations

We may collect and use aggregated and anonymized usage data that cannot reasonably be used to identify you or your users for analytics, benchmarking, and product improvement.

7. AI Features and Automated Processing

Grapevine Workplace includes AI-powered features, some developed internally and others powered by third-party providers, including Base44 and related AI infrastructure.

By using AI-enabled features, you acknowledge and agree that:

  • Customer Data may be processed by AI systems to generate summaries, insights, recommendations, automations, or suggested actions
  • AI-generated outputs are provided for informational and assistive purposes only
  • AI outputs may be inaccurate, incomplete, or context-dependent
  • You are responsible for reviewing, validating, and determining whether to rely on AI-generated output
  • AI-generated content does not constitute legal, financial, professional, or operational advice.

AI Data Isolation and Use Limitation

Customer Data processed by AI features is used solely for your benefit and only within your specific user or company instance of the Service.

Specifically:

  • Customer Data is used only to generate AI outputs for you and your organization
  • Customer Data is not shared across customers
  • Customer Data is not used to train public, general-purpose, or third-party AI models
  • Customer Data is not used to generate insights, analytics, or outputs for other customers
  • AI outputs are accessible only to authorized users within your account
  • AI processing is logically isolated per customer and is not reused or repurposed outside of providing functionality within your Grapevine Workplace environment.

Third-Party AI Providers

Where third-party AI services are used, those providers are contractually restricted from using Customer Data for purposes other than delivering AI functionality within the Service.

8. Privacy and Security

  • Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms.
  • We implement commercially reasonable administrative, technical, and organizational measures designed to protect Customer Data. However, no system is completely secure, and you acknowledge the inherent risks associated with online services and data transmission.

9. Subscriptions, Fees, and Payments

  • Subscriptions may be billed monthly or annually
  • Fees are non-refundable unless otherwise stated
  • You are responsible for all applicable taxes
  • Pricing and plans may change with prior notice
  • Failure to pay fees when due may result in suspension or termination of access.

10. Suspension and Termination

By You

You may cancel your subscription in accordance with your plan.

By Us

We may suspend or terminate access if:

  • you violate these Terms
  • payment is overdue
  • required by law
  • reasonably necessary to protect the security, integrity, or availability of the Service

Where reasonable, we will attempt to notify you and provide an opportunity to address the issue before suspension or termination.

Data After Termination

Upon termination:

  • your access to the Service ends
  • you may request a data export within 30 days, subject to reasonable technical limitations
  • after that period, we may delete Customer Data unless legally required to retain it

11. Intellectual Property

  • The Service, including all software, designs, trademarks, documentation, and related intellectual property, is owned by Grapevine Software Inc.
  • You are granted a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
  • No rights are granted except as expressly stated.

12. Disclaimers

  • The Service is provided "as is" and "as available."
  • To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee that the Service will be uninterrupted, error-free, secure, or meet all of your expectations.

13. Limitation of Liability

To the maximum extent permitted by law:

Grapevine Software Inc. will not be liable for any:

  • indirect, incidental, consequential, special, or punitive damages
  • loss of data, profits, revenue, or business opportunities
  • reliance on AI-generated outputs

Our total cumulative liability arising out of or relating to the Service will not exceed the amount paid by you to Grapevine in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Grapevine Software Inc., its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:

  • your use of the Service
  • your content
  • your violation of these Terms or applicable law

15. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law principles.
  • Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
  • The arbitration will take place in North Carolina, unless the parties agree otherwise.
  • The arbitrator's decision will be final and binding.

16. Changes to These Terms

  • We may update these Terms from time to time.
  • Material changes will be communicated via email or in-product notice.
  • Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
